Terms of Service

These Terms form a binding agreement between ViComm LLC ("ViComm," "Presidio," "we," or "us") and the person or organization using Presidio ("Customer" or "you"). They govern Presidio's business communications, CRM, forms, automation, artificial-intelligence, and related services.

1. Agreement and authority

By creating an account, clicking to accept, signing an order, or using the Services, you agree to these Terms and our Privacy Policy. If you use the Services for an organization, you represent that you have authority to bind it. An order form, service schedule, data processing addendum, or other written agreement signed by both parties controls if it expressly conflicts with these Terms.

2. The Services

Presidio provides software for customer and lead management, forms, messaging, telephone-number management, calling, call routing, AI-assisted reception and workflows, reporting, and related functions. Features may vary by plan, jurisdiction, provider availability, and configuration. We may improve or modify the Services, but will not materially reduce paid core functionality during a current subscription term without reasonable notice.

Presidio is not a telecommunications carrier, emergency-services provider, law firm, medical provider, credit bureau, or financial institution. Communications features may be delivered through third-party carriers and infrastructure providers.

3. Accounts and administrators

You must provide accurate information, keep credentials secure, use reasonable access controls, and promptly notify us of suspected compromise. The initial account creator and designated administrators may manage users, settings, integrations, Customer Content, and purchases for the Customer. You are responsible for your users, configurations, and activities conducted through your account.

4. Customer responsibilities and acceptable use

You may use the Services only lawfully and in accordance with documentation, provider rules, and these Terms. You will not:

  • send unlawful, deceptive, fraudulent, harassing, discriminatory, or unsolicited communications;
  • impersonate another person or misrepresent caller identity, message origin, consent, or affiliation;
  • upload malware, probe or disrupt systems, bypass security or usage controls, or access another tenant's data;
  • use the Services to violate privacy, consumer-protection, employment, intellectual-property, export, sanctions, telemarketing, or communications laws;
  • use high-risk automated decisions in employment, housing, lending, insurance, healthcare, legal services, or access to essential services without legally required review, notices, and safeguards;
  • resell or provide the Services as a service bureau unless we authorize it in writing; or
  • use output or data from the Services to develop a competing foundation model or unlawfully identify, profile, or surveil individuals.

We may investigate suspected abuse and suspend affected features or accounts when reasonably necessary to protect people, providers, networks, or the Services.

5. Calls, texts, email, recordings, and consent

You—not Presidio—determine whom to contact, what to say, whether to record, and the legal basis for each communication. You must obtain and preserve all consent required for calls, texts, emails, artificial or prerecorded voices, AI-generated communications, marketing, recording, transcription, and data use. You must honor opt-outs and revocations, suppress prohibited contacts, maintain accurate sender identification, and comply with do-not-call, quiet-hours, registration, campaign, and disclosure requirements.

Call-recording and transcription laws vary by location and may require consent from every participant. You must configure and use notices appropriate to the caller, recipient, and jurisdiction. You may not rely on a default Presidio prompt as legal advice.

Emergency calling is not available through Presidio. Presidio blocks calls to 911. You must use another phone or service to reach emergency services and must not represent Presidio as an emergency-calling service.

6. Telephone numbers and carriers

Numbers are subject to carrier inventory, eligibility, identity verification, registration, porting requirements, geographic restrictions, and continued compliance. You do not own assigned telephone numbers. We and our providers may reclaim, change, suspend, or reassign numbers as required by law, regulators, carriers, nonpayment, misuse, or prolonged inactivity. Porting timelines are estimates. You authorize us and our providers to submit information and documents needed to provision or port services.

7. Artificial intelligence

AI features may generate summaries, classifications, suggested responses, extracted fields, voices, or actions. AI output can be incomplete, inaccurate, or inappropriate and is not professional advice. You are responsible for reviewing output and configuring when human approval is required. You must not represent AI as human where disclosure is legally required or use AI output as the sole basis for decisions that create legal or similarly significant effects. We may use subprocessors to provide AI functions as described in the Privacy Policy; we do not authorize them to train general-purpose models on Customer Content except as expressly disclosed or enabled by Customer.

8. Customer Content and data

"Customer Content" means information submitted to or generated through a Customer workspace, including contacts, forms, messages, recordings, transcripts, files, and instructions. As between the parties, Customer retains its rights in Customer Content. Customer grants ViComm a limited, worldwide license to host, copy, transmit, process, display, and otherwise use Customer Content only to provide, secure, support, and improve the Services, comply with law, and as Customer directs.

You represent that you have all rights and permissions needed for Customer Content and our processing of it. Our Privacy Policy explains our practices. Where ViComm processes personal data on Customer's behalf, the parties may enter a data processing addendum.

9. Third-party services

The Services may interoperate with carriers, AI providers, email providers, payment processors, databases, websites, and other third parties. Their services may be subject to separate terms, availability, and policies. We are not responsible for third-party services outside our control, but we remain responsible for our obligations when we engage a provider as our subprocessor.

10. Fees, taxes, and payment

Fees, usage charges, plan limits, billing cycles, and renewal terms are shown at purchase or in an order. Unless an order says otherwise, subscriptions renew automatically for the same period until canceled, charges are nonrefundable except where required by law, and usage may be billed in arrears. You authorize applicable charges and are responsible for taxes other than taxes on our net income. We may suspend paid features for overdue amounts after notice where practicable.

11. Intellectual property and feedback

ViComm and its licensors own the Services, software, designs, documentation, brands, and all related intellectual-property rights. These Terms give you a limited, nonexclusive, nontransferable right to use the Services during the applicable term. If you provide feedback, you grant us a perpetual, irrevocable, royalty-free right to use it without restriction or attribution.

12. Confidentiality and security

Each party will protect the other's nonpublic business, technical, and financial information using reasonable care and use it only to perform under these Terms. Confidential information excludes information independently developed, lawfully received without restriction, or publicly available without breach. A party may disclose information when legally required after notice where permitted. We maintain reasonable administrative, technical, and physical safeguards; no system is completely secure, and Customer is responsible for secure configuration and endpoint access.

13. Suspension and termination

You may stop using the Services or cancel as provided in your account or order. We may suspend or terminate for material breach, unlawful or harmful use, security risk, provider requirement, nonpayment, or discontinuation of the Services. When practicable, we will provide notice and an opportunity to cure. On termination, rights to use the Services end. We may provide a reasonable export period, then delete Customer Content under our retention practices unless legally required to keep it. Provisions that by nature should survive will survive.

14. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." VICOMM DISCLAIMS IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE SERVICE, DELIVERY OF ANY COMMUNICATION, AVAILABILITY OF ANY NUMBER, OR ACCURACY OF AI OUTPUT. NOTHING IN THESE TERMS EXCLUDES WARRANTIES THAT CANNOT LAWFULLY BE EXCLUDED.

15. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR LOST PROFITS, REVENUE, GOODWILL, OR DATA. EACH PARTY'S AGGREGATE LIABILITY ARISING FROM THE SERVICES WILL NOT EXCEED THE AMOUNTS CUSTOMER PAID OR PAYABLE TO VICOMM FOR THE SERVICES DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY. THE LIMIT DOES NOT APPLY TO CUSTOMER'S PAYMENT OBLIGATIONS, A PARTY'S FRAUD OR WILLFUL MISCONDUCT, CUSTOMER'S ACCEPTABLE-USE OR CONSENT VIOLATIONS, OR LIABILITY THAT LAW DOES NOT ALLOW TO BE LIMITED.

16. Indemnification

Customer will defend and indemnify ViComm and its affiliates from third-party claims arising from Customer Content, Customer's communications or recording practices, Customer's violation of law or these Terms, or use of the Services in violation of third-party rights. ViComm will defend Customer from a third-party claim that the unmodified Services infringe a United States patent, copyright, or trademark, and may modify, replace, or terminate the affected feature. The indemnified party must provide prompt notice, reasonable cooperation, and control of the defense, subject to approval of settlements imposing fault or nonmonetary obligations.

17. Governing law and disputes

These Terms are governed by the laws of the State of Indiana, without regard to conflict-of-law rules. Before filing a claim, each party will give written notice and attempt in good faith to resolve the dispute for at least thirty days. Unless prohibited by law or otherwise agreed in writing, state and federal courts located in Marion County, Indiana have exclusive jurisdiction, and each party consents to venue there. Either party may seek urgent injunctive relief to protect confidential information, security, or intellectual property.

18. General terms

Neither party is liable for delay caused by events beyond reasonable control. Customer may not assign these Terms without our consent, except in connection with a merger or sale of substantially all assets; we may assign them in connection with a reorganization, financing, merger, or sale. The parties are independent contractors. Failure to enforce a term is not a waiver. If a provision is unenforceable, it will be limited to the minimum extent necessary and the remainder continues. These Terms, incorporated policies, and orders are the entire agreement concerning the Services.

19. Changes and contact

We may update these Terms. We will post the revised version and, for material changes, provide reasonable notice through the Services or by email. Changes apply prospectively from their stated effective date. Questions or legal notices may be sent to legal@vicommsystems.com. ViComm LLC operates Presidio.

This document is intended to be a commercially reasonable platform agreement, but it is not a substitute for review by ViComm's licensed attorney—particularly for governing law, liability caps, arbitration, telecom resale, emergency calling, and state-specific recording obligations.
